Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer", "you") and Cosmoura Marketing Private Limited (CIN U52609HR2019PTC080335, GSTIN 06AAICC1768L1ZC), a company incorporated in India with head office at 295, Block C, Sushant Lok III, Sector 57, Gurugram, Haryana — 122003 ("Cosmoura", "we"), governing your access to and use of the MyShowPage platform (the "Service") at myshowpage.com.

By creating an account, accessing the Service, or clicking "I agree" you accept these Terms. If you are entering into these Terms on behalf of a company, agency or other legal entity, you represent that you have authority to bind that entity.

1. Definitions

  • Tenant — the entity or individual on whose behalf a MyShowPage account is created (artist, agency, manager).
  • User — an individual authorised by a Tenant to access the Service.
  • Subscription — a paid monthly or annual plan as described on the Pricing page.
  • Content — data, files, media, text and communications a Tenant or User uploads to or generates within the Service.
  • Data Principal / Data Subject — the natural person to whom personal data relates.

2. Eligibility & account

You must be at least 18 years old and legally capable of contracting under applicable law. You are responsible for the confidentiality of your credentials and for all activity under your account. Notify us immediately at [email protected] of any unauthorised use.

3. Subscription plans, billing & taxes

3.1 Plans

MyShowPage is offered as monthly and annual subscription plans described on the Pricing page. Monthly plans renew each month; annual plans renew each year, unless cancelled before the renewal date.

3.2 Payment methods

  • India (INR): Razorpay Software Private Limited — cards, UPI, netbanking, wallets.
  • International (USD/EUR): Dodo Payments — cards and supported wallets.

Payment instrument data is handled entirely by the payment gateway; Cosmoura does not store card numbers or authentication credentials.

3.3 Taxes

Prices are exclusive of taxes unless stated. GST (India): IGST/CGST+SGST is added at the applicable rate based on your place of supply. VAT/Sales tax: we may add VAT for EU/UK customers or applicable sales tax based on your billing address.

3.4 Free trial

New Tenants may receive a 14-day free trial. No payment method is required to start a trial. At the end of the trial the account reverts to a limited free tier until you subscribe.

3.5 Renewals & failed payments

Subscriptions auto-renew. If a payment fails we retry per Razorpay/Dodo standard schedules and email you. If unresolved for 7 days we suspend paid features; data is retained for 90 days.

3.6 Price changes

We may adjust prices with at least 30 days' notice by email. Changes apply from the next renewal.

3.7 Refunds & cancellation

See our separate Refund & Cancellation Policy, which is incorporated into these Terms.

4. Licence to use the Service

Subject to these Terms and payment of applicable fees, Cosmoura grants you a non-exclusive, non-transferable, non-sublicensable licence during the subscription term to use the Service for your internal business purposes.

5. Your content & data

You retain all rights in Content you upload. You grant Cosmoura a limited, worldwide, royalty-free licence to host, process, transmit and display Content solely to provide the Service and to comply with law. Personal data you upload is processed under our Data Processing Agreement, incorporated by reference.

6. Acceptable use

You will not, and will not permit anyone to:

  • Upload unlawful, defamatory, obscene, or infringing Content.
  • Impersonate any person or misrepresent an affiliation.
  • Send spam, phishing, or unlawful marketing (including via BookMySMS / WhatsApp integration).
  • Reverse-engineer, scrape, or attempt to bypass rate limits, security or access controls.
  • Introduce malware, or use the Service to attack any system.
  • Resell the Service or make it available to a third party except as expressly permitted.
  • Use the Service for money laundering, sanctions evasion, or terrorist financing.

7. GST/TDS engine — disclaimer

The invoicing rules engine reflects Cosmoura's understanding of CBDT / GST Council positions at the time of coding and is offered as automation guidance. You confirm your GST registration status and art-form classification. For material tax decisions consult a qualified Chartered Accountant. Cosmoura accepts no liability for tax positions taken based on the engine's output.

8. Third-party services

The Service integrates with SignupDesk (ticketing), Razorpay / Dodo Payments (payments), Meta WhatsApp Business Cloud API via BookMySMS (messaging), Anthropic Claude (AI), Google Calendar, and others. Use of these is subject to their own terms. Cosmoura is not responsible for third-party outages or acts.

9. Suspension

We may suspend the Service (in whole or in part) for scheduled maintenance, security incidents, non-payment, a credible legal-compliance request, or a violation of these Terms. We will use reasonable efforts to notify you.

10. Term & termination

  • By you — cancel any time from Settings → Billing. Cancellation stops future renewals; refunds are governed by the Refund Policy.
  • By us — with 30 days' written notice for convenience; immediately for material breach or insolvency; immediately for illegal use.
  • Effect — access ends; Content is retained for 30 days for export (see DPA §8); then deleted / anonymised.

11. Data portability & exit

At any time you can export your data as CSV / PDF from the dashboard. On termination you have 30 days to export before deletion. Your public handle and profile URL port with you.

12. Intellectual property

Cosmoura and its licensors own all rights in the Service software, brand and documentation. Nothing in these Terms transfers those rights to you. Feedback you provide is licensed to Cosmoura on a perpetual, royalty-free basis to improve the Service.

13. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own (never less than reasonable care) and use it only to perform under these Terms. Excludes information that is public, independently developed, or lawfully received from a third party.

14. Warranties & disclaimers

We warrant that the Service will materially conform to its published documentation. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS". WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profit, revenue, goodwill or data. Each party's aggregate liability under these Terms is capped at the fees paid by you to Cosmoura in the 12 months preceding the event giving rise to the claim. The cap does not apply to (i) your payment obligations, (ii) breach of the Acceptable Use Policy, (iii) infringement of the other party's IP, or (iv) gross negligence, wilful misconduct, or fraud.

16. Indemnification

You will defend and indemnify Cosmoura against claims arising from your Content, your breach of these Terms, or your unlawful conduct. Cosmoura will defend you against claims that the Service infringes a third party's IP, provided you promptly notify us and cooperate.

17. Force majeure

Neither party is liable for failure or delay due to events beyond reasonable control (natural disasters, war, riot, pandemic, network / power failure, government action).

18. Modifications

We may update these Terms. Material changes will be notified at least 15 days in advance by email and in-app banner. Continued use after the effective date is acceptance.

19. Governing law & jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law rules. The courts at Gurugram, Haryana, India have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court. If you are a consumer in the EEA/UK, mandatory local consumer-protection laws still apply.

20. Dispute resolution

The parties will attempt to resolve any dispute by good-faith negotiation for 30 days. Unresolved disputes will be referred to arbitration in Gurugram, Haryana, India, before a sole arbitrator under the Arbitration and Conciliation Act, 1996. Language: English.

21. Notices

Notices to Cosmoura: [email protected] (with a copy to the head office at 295, Block C, Sushant Lok III, Sector 57, Gurugram, Haryana — 122003). Notices to you: to the email address on your account or by in-app banner.

22. Miscellaneous

These Terms, the Refund Policy, the Acceptable Use Policy, the Privacy Policy and the DPA together form the entire agreement. If any provision is unenforceable the rest survives. Failure to enforce is not a waiver. You may not assign without our consent; we may assign in a merger or sale of business. No third-party beneficiaries.
